These Terms & Conditions (the “Terms”) govern your access to and use of the Knode website, platform, and related services (collectively, the “Platform”). By creating an account, purchasing a membership, or otherwise using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not access or use the Platform.

1. About Knode

Knode is a membership-based platform designed to support connection, visibility, and growth across the green infrastructure, biophilic design, and landscaping industries. The Platform provides access to professional profiles, opportunities, content, tools, and community features.

2. Eligibility and Account Registration

You must be at least 18 years old to create an account or purchase a membership. By registering, you represent that the information you provide is accurate, current, and complete, and you agree to keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Knode is not responsible for unauthorized access resulting from your failure to safeguard your login information.

3. Membership Plans, Fees, and Billing

Knode offers paid membership plans that include different tiers, features, and benefits. Membership details, pricing, and billing intervals are described at the time of purchase.

Membership fees are billed in advance on a recurring basis (monthly or annually, as selected at checkout), unless otherwise stated. Prices are listed in the applicable currency and may be subject to taxes or other government charges.

By purchasing a membership, you authorize Knode and its payment service providers to charge your selected payment method on a recurring basis until you cancel your membership.

4. Cancellation and Renewal

You may cancel your membership at any time through your account dashboard. The cancellation process will use the same or fewer steps than the sign-up process, and no phone calls, approvals, or additional actions are required.

Cancellation will take effect at the end of your current billing period unless otherwise stated at the time of purchase. You will retain access to paid features until the end of that billing period. A confirmation of cancellation will be provided.

Knode reserves the right to remove content, restrict functionality, suspend access, or terminate accounts at its discretion. This is to protect the integrity and privacy of all members.

If you cancel your membership but then change your mind and want to return, Knode cannot guarantee that you will receive your previous seats. As Knode keeps a wait list for all categories in each region, as soon as a cancellation is processed we offer those seats to waiting vendors. Vendors that cancel their memberships are subject to re-submit an application to become a member of Knode again.

5. Refunds and Chargebacks

Except where required by applicable law, membership fees are non-refundable. Knode does not provide refunds or credits for partial billing periods, unused time, downgrades, or unused features.

If you believe you were charged in error, you agree to contact Knode before initiating a chargeback with your payment provider. Failure to do so may result in suspension of your account.

6. Platform Content and Intellectual Property

All content and materials made available through the Platform, including but not limited to text, graphics, logos, listings, templates, resources, and educational materials (collectively, “Content”), are owned by Knode or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, Knode grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Content solely for your personal or internal professional purposes. You may not copy, reproduce, distribute, modify, sell, sublicense, or otherwise exploit any Content without prior written permission from Knode.

7. User Content and Profiles

You may submit or display content on the Platform, including profile information, comments, or other materials (“User Content”). You are responsible for ensuring that your User Content is accurate, lawful, professional, and does not infringe the rights of others.

By submitting User Content, you grant Knode a non-exclusive, worldwide, royalty-free license to host, display, and use such content solely for the purpose of operating and promoting the Platform.

8. Community Standards and Acceptable Use

Members are expected to engage professionally, respectfully, and in good faith. Prohibited conduct includes, but is not limited to:

  • Harassment, abuse, or discriminatory behavior
  • Spam, solicitation, or misleading representations
  • Infringement of intellectual property or privacy rights
  • Any activity that disrupts, harms, or undermines the integrity of the Platform or community

Knode reserves the right to remove content, restrict functionality, suspend access, or terminate accounts at its discretion if these standards are violated.

9. Suspension and Termination

Knode may suspend or terminate your account, with or without notice, if you breach these Terms or engage in conduct that harms the Platform, other members, or Knode’s reputation.

Upon termination, your right to access the Platform and any paid features will immediately cease. No refunds will be issued for terminated accounts, except where required by law.

10. Disclaimers

The Platform and all Content are provided on an “as is” and “as available” basis. Knode makes no warranties, express or implied, regarding the Platform, including warranties of accuracy, reliability, fitness for a particular purpose, or availability.

Knode does not guarantee specific outcomes, business results, employment opportunities, or professional engagements through use of the Platform.

11. Limitation of Liability

To the fullest extent permitted by law, Knode and its directors, officers, employees, and partners will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of, or inability to use, the Platform.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any disputes arising from these Terms or your use of the Platform will be resolved exclusively in the courts located in British Columbia, unless otherwise required by applicable law.

13. Changes to These Terms

Knode may update these Terms from time to time to reflect changes in the Platform, legal requirements, or business practices. Updated Terms will be posted on the Platform with a revised “Last updated” date. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
